I am writing to explain in more detail what my "Way Forward" is and hopefully enable you to choose your way forward.

As you were advised on Monday 31st August 2009, I had opted to go it alone.

I have decided to market the Guard-A-Kid Smart-ID stick as a solution for an emergency in all sectors covered by the software. I will be launching an e-commerce website pushing the concept that the Smart-ID stick is essentially an emergency data stick - www.theemergencystick.com

As I have stated in my previous emails to you, I would be very happy for you to join me as an affiliate of my website. The website will be designed to identify your sales separately. However as also stated in my previous emails, I will only be paying commissions ("marketing fee") to you on sales identified as yours.

After reviewing my contract fees structure I confirmed that I was entitled to 7.5% marketing fee and 7.5% territorial fee. Giving me a maximum of 15% if the sale was mine and in my area. So inline with the maximum I would have achieved on "my direct efforts", I feel that an affiliate commission of 15% to you is a fair.

As I have also already discussed with you, there is a retail model to my business. I was willing to provide you stock once it has arrived in the UK for you to retail individually.

If you want to work independently, I will provide the Smart-ID stick to you from the UK through Sound 2 Vision Ltd. This way you will not have to worry about import duty and shipping.

I hope that this information will enable you to make an educated choice as to what is your way forward.
